Stratwise Predictions — Terms of Use

1. Introduction and Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of the Stratwise Predictions service, operated by Stratwise.ai ("we," "us," or "the Company"), accessible via the Telegram bot @StratwisePredictions_bot (collectively, the "Service"). The Service is a product of Stratwise.ai, available at stratwise.ai.

BY ACCESSING OR USING THE SERVICE IN ANY WAY, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, you must immediately cease using the Service.

We reserve the right to amend these Terms at any time. Continued use of the Service following notice of any amendments constitutes your acceptance of the revised Terms.

2. Nature of the Service — Experimental Research Tool

2.1 Experimental Status

Stratwise Predictions is an EXPERIMENTAL automated trading bot developed as part of ongoing scientific research by Stratwise.ai. The Service leverages proprietary artificial intelligence models to generate probabilistic predictions and execute trades on prediction markets (currently Polymarket). The Service is provided "as-is" for research and exploratory purposes only and does not constitute a finished, production-grade financial product.

2.2 AI Models Employed

The Service employs the following proprietary AI models, the results of which are inherently probabilistic and non-deterministic:

• Martingale Rainbow DQN — a Deep Reinforcement Learning model with CVaR risk-sensitive execution
• Market Regime Detection — classifies market conditions across five regimes (Crisis, Recovery, Normal, High Volatility, Low Volatility)
• ML-Adaptive DCA-TWAP — a dynamic order-execution model adapting to real-time volatility and liquidity conditions
• Squeeze Prediction — an AI-powered model for detecting market squeeze events

These models have been the subject of two peer-reviewed publications presented at the ACM ICAIF 2025 conference. Academic recognition does not imply guaranteed performance or fitness for any particular purpose.

2.3 Prediction Markets Only

The Service operates exclusively on prediction markets (Polymarket). It does not provide access to, or execute trades on, regulated securities exchanges, cryptocurrency spot/futures markets, commodities markets, or any other regulated financial instrument.

3. Not Financial Advice — No Investment Service

THE SERVICE DOES NOT CONSTITUTE, AND MUST NOT BE CONSTRUED AS, FINANCIAL ADVICE, INVESTMENT ADVICE, TRADING ADVICE, OR ANY OTHER FORM OF REGULATED FINANCIAL SERVICE.

Neither Stratwise.ai nor any of its officers, directors, employees, researchers, or affiliates are licensed financial advisors, broker-dealers, or investment managers.

All outputs, signals, predictions, and executed trades generated by the Service are purely the output of automated AI models and reflect probabilistic estimates only. They do not represent the views, recommendations, or opinions of any human advisor or of the Company.

You acknowledge that:

• You are solely responsible for all financial decisions you make in connection with the Service
• Nothing in the Service should be relied upon as a basis for making investment or financial decisions
• You should consult a qualified and licensed financial advisor before making any financial decisions
• The Company expressly disclaims any advisory relationship with you

4. Non-Custodial Model — Your Funds Remain Yours

4.1 No Custody of Funds

To use the Service, a dedicated Polymarket wallet is generated on your behalf by the Service. Upon creation, the private key to that wallet is transmitted to you and is thereafter your sole responsibility. Stratwise.ai does NOT store, retain, or have access to your private key after delivery. You are the sole custodian of your private key and, accordingly, the sole owner and controller of the associated wallet and its contents at all times.

The Company cannot recover your private key if lost, and cannot access, freeze, or move your funds. You bear full responsibility for the safekeeping of your private key.

4.2 Your Sole Responsibility for Connected Accounts

You are solely responsible for:

• The security of your connected wallet, exchange account, and associated credentials
• Ensuring your use of Polymarket and connected services complies with those platforms' terms of service
• Any risks associated with the underlying prediction market platform, including smart contract risk, platform downtime, or regulatory action
• Any gas fees, platform fees, or third-party costs incurred through use of the Service

5. Fees and Monetization

5.1 Performance-Based Fee

The Company earns revenue exclusively through a performance fee applied to profits generated by the Service on your behalf. No fee is charged on deposits, withdrawals, or in the event of a loss. The applicable fee schedule is progressive (tiered by profit level) and is set out in the Service interface at the time of your onboarding or as updated from time to time.

5.2 No Guaranteed Minimum Profit

The existence of a performance fee does not imply or guarantee that the Service will generate any profit. You may receive a zero return or incur a loss. The Company's fee applies only where a net profit is realised; no fee is assessed against your principal.

5.3 Fee Changes

We reserve the right to adjust the fee schedule at any time. You will be notified of any material changes via the Service. Continued use after notification constitutes acceptance of the revised fee structure.

6. Risk Disclosure — Capital at Risk

By using the Service, you expressly acknowledge and accept the following risks:

• Model Risk — AI models may fail to predict market outcomes accurately, particularly in novel or extreme market conditions
• Market Risk — prediction markets are inherently volatile and subject to sudden, unpredictable movements
• Liquidity Risk — market conditions may prevent the execution of trades at expected prices or at all
• Technology Risk — the Service may experience bugs, downtime, latency, or unexpected behaviour
• Smart Contract / Platform Risk — the underlying prediction market platform carries its own technical and counterparty risks
• Regulatory Risk — the legal status of prediction markets varies by jurisdiction; regulatory changes may affect your ability to participate
• Total Loss Risk — you may lose the entire amount you allocate to the Service

7. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, OR NON-INFRINGEMENT.

In particular, the Company does not warrant that:

• The Service will meet your requirements or expectations
• The Service will be uninterrupted, timely, error-free, or secure
• Any prediction, signal, or trade generated by the Service will be profitable or accurate
• Any defects in the Service will be corrected
• The Service is free from viruses, harmful components, or other malicious code

Any forecasts, projections, or past performance data presented within the Service are provided for illustrative purposes only and do not constitute a guarantee, promise, or representation of future results.

8. Limitation of Liability

8.1 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STRATWISE.AI, ITS FOUNDERS, DIRECTORS, OFFICERS, EMPLOYEES, RESEARCHERS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, LOSS OF DATA, FINANCIAL LOSSES, LOSS OF GOODWILL, OR ANY OTHER INTANGIBLE LOSS ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICE.

8.2 Cap on Liability

TO THE EXTENT ANY LIABILITY OF THE COMPANY IS ESTABLISHED BY A COURT OF COMPETENT JURISDICTION NOTWITHSTANDING THE FOREGOING EXCLUSIONS, THE TOTAL AGGREGATE LIABILITY OF THE COMPANY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL PERFORMANCE FEES ACTUALLY PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR USD 100, WHICHEVER IS LOWER.

8.3 Essential Basis of Bargain

You acknowledge that the limitations of liability set forth in this Section 8 reflect a reasonable and fair allocation of risk and are an essential basis of the bargain between you and the Company. The Company would not provide the Service absent such limitations.

9. User Eligibility and Obligations

9.1 Age Requirement

You must be at least 18 years of age (or the age of legal majority in your jurisdiction, if higher) to use the Service. By using the Service, you represent and warrant that you satisfy this requirement. We reserve the right to suspend or terminate accounts where we have reasonable grounds to believe this requirement is not met.

9.2 Eligibility and Competence

By using the Service you represent and warrant that:

• You are a natural person or duly authorized representative of a legal entity with capacity to enter into a binding agreement
• You are not located in, or a resident of, any jurisdiction in which access to or use of the Service is prohibited or restricted by applicable law
• You are not using the Service in violation of any applicable law or regulation
• You have sufficient knowledge and experience to understand the risks described in Section 6

9.3 Prohibited Uses

You agree that you will NOT:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to reverse engineer, decompile, or otherwise extract the source code or underlying AI models of the Service
• Resell, sublicense, or redistribute access to the Service
• Attempt to circumvent any security measures or access controls of the Service
• Use the Service to manipulate or disrupt prediction markets or any underlying platform
• Provide false or misleading information in connection with your use of the Service

10. Jurisdictional Compliance — Your Responsibility

The legality of prediction market participation, automated trading, and related activities varies significantly across jurisdictions. It is YOUR SOLE RESPONSIBILITY to determine whether your use of the Service is lawful in your jurisdiction of residence and operation.

You represent, warrant, and agree that:

• You have independently determined that your use of the Service is lawful in your jurisdiction
• You will comply with all applicable local, national, and international laws and regulations, including those relating to financial services, gaming, money transmission, and data protection
• You will not use the Service if it is prohibited or restricted in your jurisdiction
• The Company accepts no liability for your failure to comply with applicable local laws

Without limiting the foregoing, users located in the United States, and other jurisdictions with specific restrictions on prediction markets or unregulated financial technology, should seek independent legal advice before using the Service. The Company makes no representation that the Service is appropriate or lawful for use in any specific jurisdiction.

11. Data Collection and Privacy

11.1 Data We Collect

In connection with your use of the Service, we may collect and process the following categories of data:

• Telegram user identifier (user ID), username, and interaction data within the bot
• Risk preference settings and configuration choices you make within the Service
• Transaction data relating to trades executed on your behalf (excluding private keys or seed phrases, which we never request or store)
• Technical and diagnostic data, including bot usage logs, error reports, and performance metrics

11.2 How We Use Your Data

We use collected data exclusively for the following purposes:

• Operating, maintaining, and improving the Service and its AI models
• Research and development, including model training and performance analysis
• Communicating with you regarding the Service, including updates, alerts, and support
• Ensuring the security and integrity of the Service
• Complying with our legal obligations

11.3 Data We Do Not Collect

We do NOT store your private key after it has been delivered to you. The private key is generated once, transmitted to you, and immediately discarded from our systems. We have no means of recovering, accessing, or reconstructing your private key after delivery. We also do not collect seed phrases, account passwords, or any other sensitive authentication credentials.

11.4 Data Sharing

We do not sell your personal data to third parties. We may share data with trusted service providers acting on our behalf (e.g., cloud infrastructure, analytics) under confidentiality obligations, or as required by law.

12. Service Availability, Modifications, and Discontinuation

The Service is provided on an experimental basis. We make no commitment regarding uptime, availability, or continuity of service. We reserve the right, at our sole discretion and at any time, without prior notice and without liability to you, to:

• Modify, suspend, or discontinue the Service (or any part thereof), temporarily or permanently
• Change the functionality, parameters, fee structure, or risk settings of the Service
• Suspend or terminate your access to the Service for any reason, including violation of these Terms
• Impose limitations on your use of the Service, including trading limits or frequency restrictions

Where reasonably practicable, we will endeavour to provide advance notice of material changes or discontinuation via the Telegram bot or our website. The Company shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

13. Intellectual Property

All intellectual property rights in the Service, including but not limited to the AI models, algorithms, software, code, research, brand assets, and documentation, are the exclusive property of Stratwise.ai or its licensors. Nothing in these Terms grants you any right, title, or interest in or to any intellectual property of the Company.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your personal, non-commercial purposes in accordance with these Terms. This licence does not include any right to sublicense, modify, distribute, publicly display, or commercially exploit the Service or any component thereof.

14. Indemnification

You agree to indemnify, defend, and hold harmless Stratwise.ai and its founders, directors, officers, employees, researchers, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (i) your use of or access to the Service; (ii) your violation of these Terms; (iii) your violation of any applicable law or regulation; or (iv) any third-party claim arising from your conduct in connection with the Service.

15. Modifications to These Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will notify you via the Telegram bot or through our website, and update the "Effective Date" at the top of these Terms. Your continued use of the Service after the effective date of any revised Terms constitutes your binding acceptance of those changes.

If you do not agree to the updated Terms, you must discontinue your use of the Service immediately. It is your responsibility to periodically review these Terms.

16. Termination

You may terminate your use of the Service at any time by disconnecting your account and ceasing all use of the Telegram bot. The Company reserves the right to terminate or suspend your access to the Service, with or without notice, at any time, in its sole discretion, including where we reasonably believe you have violated these Terms.

Upon termination, all rights granted to you under these Terms will immediately cease. Sections 3, 6, 7, 8, 9, 13, 14, and 17 shall survive any termination of these Terms.

17. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws applicable to Stratwise.ai's registered jurisdiction, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or in connection with these Terms, or the breach, termination, or invalidity thereof, shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, the dispute shall be submitted to binding arbitration in accordance with the rules of a mutually agreed arbitral institution. The seat of arbitration and the language of proceedings shall be determined by applicable law of the Company's registered jurisdiction.

NOTWITHSTANDING THE FOREGOING, NOTHING IN THIS SECTION SHALL PREVENT EITHER PARTY FROM SEEKING INJUNCTIVE OR OTHER EQUITABLE RELIEF FROM A COURT OF COMPETENT JURISDICTION WHERE NECESSARY TO PREVENT IRREPARABLE HARM.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company with respect to the Service and supersede all prior and contemporaneous agreements, representations, and understandings.

18.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

18.3 No Waiver

Failure by the Company to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be made in writing and signed by an authorized representative of the Company.

18.4 Assignment

You may not assign or transfer any rights or obligations under these Terms without the prior written consent of the Company. The Company may assign its rights and obligations under these Terms without restriction.

18.5 Force Majeure

The Company shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, governmental action, internet outages, smart contract failures, exchange downtime, or other circumstances beyond its control.

18.6 Language

These Terms are drafted in the English language. In the event of any conflict between an English version and any translation, the English version shall prevail.
